Director of Legal:
Shape is adding a key member to our five-person legal team, reporting directly to our Vice President of Legal.  We’re looking for an experienced (at least 4 years) and practical software licensing lawyer who can manage diverse commercial activity – negotiating and closing complex customer, channel, and vendor agreements.

    • Review, draft and negotiate complex inbound and outbound commercial agreements
    • Collaborate with business and technology teams to provide guidance on business and legal risks

    • Collaborate with business and technology teams to provide guidance on business and legal risks
    • Provide strategic and tactical legal advice in connection with the drafting, negotiation, and review of a wide variety of contracts and strategic agreements, including licensing agreements, business partner agreements, and service agreements.

Required Qualifications:

    • JD from an accredited law school, excellent academic credentials, and admission to CA or other state bar
    • A minimum of 4 years of top-tier law firm and/or in-house experience, with a focus on commercial contracts (experienced technology IP/patent litigators from top-tier law firms who want to make the jump to commercial in-house work will be considered)
    • Prior legal experience working in a fast-paced, entrepreneurial environment handling a wide array of complex technology agreements
    • Strong problem solving, drafting, and communication skills
    • Substantive transaction experience in drafting and negotiating complex contract and/or licensing agreements and working with two-tier sales partners
    • Excellent business judgment plus an ability to think strategically, make timely decisions, and give practical, solution-oriented and business-oriented advice

Bonus Points - Experience at or with any of the following areas will be a bonus:

    • Cybersecurity or other high-tech industry experience
    • Experience with reseller and distributor partnerships
    • Start-up or small company
