Description

LendingClub's Legal Department seeks an experienced legal leader for the position of VP, Legal - Investor Products and Strategy. Based in San Francisco, New York or Utah, this senior lawyer will be a part of the legal leadership team, reporting to our General Counsel and supporting the Investor group within the Company that is responsible for the sales of billions of loans through our marketplace. As the primary legal resource for the Investor group and the Chief Capital Officer, this individual will also manage the legal team that supports Investor Sales, Execution and Financing. We seek a lawyer that is an expert in the capital markets and structured finance products and who anticipates and helps to resolve the issues that our growing business may face. We are looking for someone with the demonstrated ability to support product development, delivery and evolution with a creative and practical approach. Being adept at working with cross-functional teams and senior business leadership and having the flexibility to manage a wide range of innovative projects is essential to this role

 

 

What You'll Do

 

  • Lead the legal function supporting LendingClub’s Investor group, working closely with the Company’s executives and leadership
  • Review, draft, and negotiate a variety of complex financial transaction documents relating to the company’s investor products and provide advice to the business units regarding legal risks associated with such transactions
  • Build scalable and effective processes to help launch new capital market and structured finance products
  • Deliver legal counsel and expertise on securities laws and regulations
  • Coordinate and work closely with the borrower-facing businesse teams to ensure strategic alignment across functions
  • Support marketing review, partner contracts and new product launches
  • Provide strategic support for compliance, risk and internal audit groups
  • Manage the successful delivery of services by outside counsel
  • Drive and execute special projects in support of key objectives of the Legal and Compliance teams
  • Contribute to the culture and collaboration of the legal team

 

 

About You

 

  • J.D. with excellent academic credentials
  • State bar member in good standing
  • 12+ years of legal experience, including foundational training in a national law firm and in-house legal department experience, demonstrating increasing levels of responsibility
  • 5+ years of experience developing direct reports
  • Experience with securities laws and regulations, including the ’33 and the ’34 Acts, and with capital markets transactions
  • A business and solution-oriented approach to resolving issues
  • Excellent interpersonal, communication, analytical and influencing skills
  • Proven ability to develop collaborative relationships with internal partners and external customers, with comfort interacting with associates across departments and job levels
  • Ability and desire to develop expertise in new or unfamiliar areas of law
  • Desire to pitch in and to learn new areas of the business and legal practice
